Frédéric HUGUENIN advises financial institutions and companies in the fields of financing and mergers and acquisitions.

In this regard, he participates in operations of structured or specialized financing arrangements for the benefit of banks, and the setting-up of financing documents (credit contracts, mezzanine loans, subordinated loans, cash-pool agreements,…) and documents of guarantees (liens, share pledges, encumbrances, etc.). He also participates in merger operations, and advises companies in the restructuring of their shareholding for the negotiation and elaboration of transfer of share agreements, shareholders’ agreements, asset and liability guarantees and their consequences in corporate law (capital increase or decrease, issuance of securities, merger, partial asset transfer).

His experience, acquired within the law firms of ERNST & YOUNG, LAMY-LEXEL, MOQUET BORDE (which became PAUL HASTINGS), and CROIZAT-HUGUENIN, enables him to apprehend the needs and stakes of medium sized companies as well as those of large companies and institutional clients.
